FOUNDATION PRESS RELEASE - September, 2004

         Alumni and Friends organize Foundation to support Underwood School

Contributions to the Underwood School Foundation are tax deductible by the donor since the Foundation has been approved by the IRS. This is good news to alumni and friends who desire to support the school to assure quality education and facilities for students of Underwood, now and in the future.

The Foundation was formed for the sole purpose of raising money to support the school. The school board will identify needs and determine how money is spent unless a contribution is restricted to a special purpose by the donor. The Foundation's Board of Directors and other interested alumni and friends of the school will conduct fund raising activities. The Foundation Board of Directors will determine the acceptability of certain gifts*, manage the funds received and report the financial status of the Foundation to it constituents.

Suggested types of contributions include:

      Cash:    Your check may be the most convenient form of gift.

      Securities:    Corporate stocks and bonds, bonds issued by the US Government, or shares of mutual funds.

      Real Estate*:    Farm, business, investment and personal residence can provide significant tax benefits if properly used as gift vehicles.

      Retirement Plans:   IRA accounts, company sponsored 401k and non-profit 403b plans make excellent gift vehicles.

      Certificates of Deposit:    Can be assigned to the Foundation through a payable on death designation or assigned prior to maturity.

      Insurance Policies:    The Foundation can be named as a contingent beneficiary on paid-up policies. Fully paid policies can be assigned, and new policies can be purchased, naming the Foundation as owner and beneficiary.

You may be eligible to increase your gift if your employer or our spouse's company has a matching gift program.

Students and friends of the Underwood School hope that you will remember the School Foundation as you consider your charitable giving and tax planning options. Various recognition options are being studied by the Board to acknowledge the donors or those they wish to memorialize.

(2003) - Proposal for New All-Purpose Building


[First Meeting (Phone Conference Call) - June 11, 2003]


A group of dedicated Underwood School Alumni is in the process of organizing a foundation (The Underwood North Dakota School Foundation) to allow for contributions and money raising activities to support the Underwood School.

This initial group includes Norm MacPhee, David LeRoy and John "Tip" Miller. Each participant brings expertise necessary to promote a successful organization. Norm MacPhee has experience with foundations, serving on the UND group. He is filing the necessary paperwork to meet state and federal regulations. John Miller has served on the NDSU Foundation Board for several years. David LeRoy has 21 consecutive years of service on the Underwood School Board.

Although there isn't time before our Centennial Celebration to legalize this Foundation, we would like to advertise and provide initial information to returning alumni. We may possibly have handout information available when people register for the reunion in July. Please come back and visit this Website often for new and updated information which will be posted as soon as it is available.

We expect important foundation information to become available when the Underwood School Board provides details about the present and future needs of the school.

First Meeting - Minutes Summary (6/11/2003)

Conference call/organizational meeting included David LeRoy, John Miller, Diane Schell, Charlotte Anderson, Chuck Johnson and Norm MacPhee. Rick Olson was absent.

Articles of Incorporation were approved via E-mail and regular mail and have been accepted by the State of North Dakota. An application for IRS 501(c)(3) charity status has been submitted to the IRS. The organization is exempt from the fund raiser licensing system in ND because only volunteers will be used and the fund raising is for a governmental unit.

Issues discussed included the following:

1. A "letter/brochure" describing the Foundation and how one could help.
2. Including letter in the Centennial Celebration registration packet.
3. Possible registration desk by a Foundation representative, for information.
4. Request time to speak during reunion dinner to explain the Foundation.
5. Make a 'donor information card' (including a pledge system) available at the reunion.

A draft set of Bylaws will be reviewed by Chuck Johnson:

1. This is a "member organization" composed of all graduates, attendees, present and former faculty and staff and friends of the Underwood North Dakota School. Members have no voting rights.

2.The Board will consist of three types of members: Administrative Members who will have full operating authority for the Foundation.  It is anticipated that the number of such members will be few and hopefully they can be located in ND so meetings are easily conducted.  A second Board Member group will be called “Life Members” and they will be kept informed of all happenings because they have done something extraordinary to assist the Foundation.  The Life Members will not be voting members of the Board.  A third type of Board Member will be the “Adjunct Member”.  It is anticipated that an Adjunct Member has no regular voting rights or responsibilities, but may be asked to participate in various functions such as committee work and major decisions.  Note that current faculty, staff and Board Members of the Underwood, ND School may not be voting members of the Foundation Board, but, are to be made “ex-officio” members of the Board.  It is anticipated that the Superintendent and Board Chairman at a minimum would fill this function.

3. There will be a nominating committee created to replace and fill Board Member seats as required.

There was a brief discussion of “Charitable Remainder Unitrusts” and other deferred giving as well as Endowment Funds.  No decisions were made.

The formation of an “Investment Committee” was discussed with no formal decision made.
